Operação deverá envolver ações e dinheiro, segundo informou a Eneva nesta quinta-feira (23). A elétrica Eneva informou nesta quinta-feira (23) que fará nova proposta para incorporar a AES Tietê, em uma operação que deverá envolver ações e dinheiro, desde que tenha apoio do BNDESPar, maior acionista da geradora que também tem como sócio o grupo norte-americano AES.
A relação de troca a ser proposta contemplaria a atribuição de um prêmio de 10% sobre o valor de mercado das duas companhias na data de 23 de julho, segundo a Eneva.
Complexo Parnaíba, localizado em Santo Antônio dos Lopes (MA), é um dos ativos da Eneva de geração de energia termelétrica

A proposta de incorporação deverá ter relação de troca implícita correspondente a 0,06539522 nova ação ordinária de emissão da Eneva para cada ação ordinária ou preferencial de emissão da AES Tietê ou de 0,32697609 por unit.
Segundo a Eneva, a proposta deve totalizar 130.498.292 novas ações ordinárias de emissão da Eneva, mais uma parcela em dinheiro de R$ 727,89 milhões, equivalente a 0,36 real por cada ação ordinária ou preferencial ou 1,82 real por Unit.
“A proposta formulada ao BNDESPar fundamenta-se na convicção do Conselho de Administração da Eneva de que a combinação de negócios segue sendo uma operação com méritos e com potencial de gerar significativos benefícios para os acionistas e demais stakeholders de ambas as companhias”, disse o fato relevante.
A união das duas companhias criaria uma plataforma eficiente de ativos de geração de energia, “com grande diferencial competitivo, viabilizaria a ampliação da geração de receita e menor volatilidade do fluxo de caixa, além de oferecer um salto de governança corporativa para os acionistas da AES Tietê”, disse a Eneva.
